These Terms and Conditions apply to services supplied by CPC Group Ltd, Company Number 16710028, trading as Crown Partners Consultancy.
Basis of contract
The terms, order form, proposal, and any expressly incorporated written documents form the agreement between Crown Partners and the buyer. No variation is effective unless agreed in writing by authorised representatives.
Services and delivery model
Crown Partners provides consultancy, advisory, bid support, opportunity identification, framework positioning, commercial guidance, social value and ESG support, procurement strategy, and related services as agreed in writing.
Retainer services provide access to expertise, structured delivery, and ongoing opportunity generation. They do not guarantee any specific number of opportunities, submissions, awards, or contract wins.
Buyer obligations
The buyer must provide accurate information, appropriate contacts, timely approvals, and relevant documents. The buyer remains responsible for pricing, financial modelling, commercial decisions, delivery commitments, and final approval of any submission.
Supplier obligations
Crown Partners will use reasonable skill and care in delivering services and, where reasonably possible, provide notice of key deadlines and recommendations for future opportunities.
Fees, gainshare, and payment
Fees are payable as set out in the order form. Gainshare applies only where both parties have expressly agreed in writing to a specific named opportunity, authority, reference, scope of support, and fee basis.
Procurement changes and liability
Procurement bodies may change scope, timelines, requirements, or evaluation criteria. Such changes are outside Crown Partners' control. Subject to applicable law, liability is limited as described in the agreed terms.
Intellectual property and confidentiality
Crown Partners retains ownership of its methodologies, templates, frameworks, know-how, systems, processes, and pre-existing materials. Client-specific materials are available for the buyer's internal business use subject to full payment and the agreed terms.
Termination and governing law
Cancellation, termination, non-solicitation, conflict, notice, and general provisions apply as set out in the written agreement. The agreement is governed by the laws of England and Wales.
